These Terms of Service (“Terms”) govern access to and use of Oxford Impulse CMS (the “Service” or “Platform”), an internal client-operations platform operated and maintained by Oxford Impulse Ltd. (“Company”, “we”, “us”, or “our”).
By accessing or using the Service, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Scope & Eligibility (Internal Team Members Only)
Oxford Impulse CMS is an internal operations tool built exclusively for authorized team members, officers, employees, contractors, and consultants of Oxford Impulse Ltd. It is not a public commercial product and is not available to the general public. Access is granted strictly by individual invitation or account provisioning by Oxford Impulse Ltd. administration — there is no public or self-serve account registration.
2. Acceptable Use Policy
You agree to access and use the Service strictly for Oxford Impulse Ltd.’s legitimate B2B business operations, including managing client audits, task workflows, strategy documents, campaign analytics, and client communication scheduling.
You shall not:
- Access, tamper with, or attempt to access data, files, client records, or user accounts that you are not explicitly authorized to view or edit.
- Use the Service for any personal, unauthorized commercial, or unlawful purpose.
- Attempt to reverse-engineer, decompile, disable, scan, or breach the security or authentication measures of the Service.
- Introduce malicious software, viruses, or automated scripts into the Platform.
3. Account Responsibility & Security
You are responsible for maintaining the confidentiality and security of your account credentials (including usernames, passwords, and multi-factor authentication tokens). You accept full responsibility for all activities, actions, and modifications occurring under your account.
You must notify Oxford Impulse Ltd. system administrators immediately at info@oxfordimpulse.com if you suspect any unauthorized access, loss, or compromise of your credentials.
4. Third-Party Integrations
The Service allows authorized users to connect external third-party productivity tools and services — including Google Accounts (Google Calendar), Microsoft Outlook, and Zoom — to facilitate seamless meeting scheduling, calendar synchronization, and client operations.
Your use of any connected third-party tool remains subject to the respective terms and policies of those external providers. For full details on how we access, process, store, and restrict data from these integrations (specifically Google API data), please refer to our Privacy Policy.
5. Data & Work Product Ownership
All client records, business datasets, campaign audits, marketing strategy frameworks, documents, software code, configurations, and work products created, uploaded, processed, or generated within Oxford Impulse CMS are and shall remain the sole and exclusive intellectual property of Oxford Impulse Ltd.
Individual users do not acquire any ownership rights, copyright, trade secret rights, or data rights in any material stored or created within the Platform. Upon leaving or completing an engagement with Oxford Impulse Ltd., you retain no right to extract, copy, or distribute proprietary platform data or client records.
6. Access Suspension and Termination
Oxford Impulse Ltd. reserves the right to suspend, revoke, or terminate your access to Oxford Impulse CMS at any time, with or without notice, particularly upon the termination of your employment, contractor engagement, or professional relationship with Oxford Impulse Ltd., or in the event of a suspected breach of these Terms.
You may disconnect any authorized third-party OAuth integrations (such as Google Calendar or Zoom) at any time directly through the integration settings inside Oxford Impulse CMS or via your third-party account permission settings.
7. Disclaimer of Warranties
Oxford Impulse CMS is an internal administrative platform provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permissible by law, Oxford Impulse Ltd. disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Oxford Impulse Ltd. and its directors, officers, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, goodwill, or operational disruption resulting from your access to, reliance upon, or inability to access Oxford Impulse CMS.
9. Changes to These Terms
We reserve the right to modify or update these Terms at any time to reflect operational or security updates. Updated terms will be posted directly within the Service dashboard or notified via internal channels. Continued access or use of the Platform following an update constitutes acceptance of the revised Terms.
10. Governing Law and Jurisdiction
These Terms, their subject matter, and their formation shall be governed by and construed strictly in accordance with the laws of England and Wales.
Oxford Impulse Ltd. is a registered company in England and Wales under company registration number 14647185. The courts of London, England shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the use of Oxford Impulse CMS.
